TERMS OF SERVICE

By accessing or using Bundie, operated by Lucathree Labs Ltd., a company registered in the British Virgin Islands (https://app.synthos.fun), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must discontinue use of the platform immediately.

Bundie is a decentralized finance (DeFi) platform that provides AI-powered personalized crypto yield strategies. The platform enables users to:

• Connect cryptocurrency wallets and create smart wallets via account abstraction
• Deposit digital assets into vaults and automated yield strategies
• Track portfolio performance and asset allocations
• Earn points through platform participation and referrals
• Interact with other users via a social feed and leaderboard

Bundie operates on Ethereum Virtual Machine (EVM) compatible blockchain networks.

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, to use Bundie. By using the platform, you represent and warrant that:

• You are not located in, incorporated in, or a citizen or resident of any jurisdiction where participation in DeFi protocols or cryptocurrency activities is prohibited, restricted, or requires licensing that has not been obtained.
• You are not subject to any sanctions administered or enforced by any country or government or otherwise designated on any list of prohibited or restricted parties.
• You have the legal capacity to enter into a binding agreement.

Bundie supports wallet connections through Privy, including direct wallet connections and social login methods (email, Twitter/X, Google). You acknowledge and agree that:

• You are solely responsible for maintaining the confidentiality and security of your wallet credentials, private keys, seed phrases, and any authentication methods used to access the platform.
• Embedded wallets and smart wallets (powered by ZeroDev account abstraction) may be created on your behalf to facilitate transactions. You are responsible for understanding how these wallets operate.
• Bundie is a non-custodial platform. We do not hold, control, manage, or have access to your private keys, seed phrases, or funds at any time.
• You are solely responsible for all activity that occurs through your wallet connection, whether authorized or unauthorized.
• Gas sponsorship (via account abstraction) is provided at Bundie's sole discretion and may be modified, reduced, or terminated at any time without notice. You may be required to pay network transaction fees (gas) directly in the future.

By using Bundie, you expressly acknowledge and assume the following risks:

• Financial Risk: DeFi protocols involve significant financial risk. The value of digital assets is highly volatile and you may lose some or all of your deposited assets. Past performance of any vault or strategy does not guarantee future results.
• Smart Contract Risk: Interactions with smart contracts carry inherent risks including but not limited to software bugs, exploits, economic attacks, and vulnerabilities that may result in partial or total loss of funds.
• AI and Algorithmic Risk: AI-powered strategies and recommendations are algorithmic in nature and may not perform as expected. AI-generated suggestions are not financial, investment, tax, or legal advice.
• Network Risk: Blockchain networks may experience congestion, downtime, forks, or other disruptions that may affect the processing or finality of your transactions.
• Regulatory Risk: The regulatory status of DeFi protocols, digital assets, and blockchain technology is uncertain and varies by jurisdiction. New or changing regulations may adversely affect the platform or your ability to use it.
• Third-Party Risk: Bundie integrates with third-party protocols, bridges, and services. Failures, exploits, or changes in these external systems may directly affect your assets or platform functionality.

You agree not to engage in any of the following:

• Using the platform for money laundering, terrorist financing, sanctions evasion, or any other illegal activity.
• Attempting to exploit, manipulate, attack, or interfere with the platform, its smart contracts, or underlying infrastructure.
• Using automated systems, bots, or scripts to abuse the points, referral, or leaderboard systems in ways not intended by the platform.
• Impersonating other users, providing false information, or creating multiple accounts to circumvent platform rules.
• Circumventing access restrictions, security measures, or geo-restrictions.
• Posting harmful, defamatory, obscene, or illegal content on the social feed.
• Engaging in market manipulation, front-running, or wash trading through the platform.

Bundie may offer a points and rewards program. You acknowledge that:

• Points are tracked internally and have no guaranteed, implied, or inherent monetary value unless explicitly stated otherwise.
• Bundie reserves the right to modify, suspend, recalculate, or terminate the points and rewards system at any time without prior notice.
• Points are non-transferable unless a transfer mechanism is expressly provided by the platform.
• Abuse of the points or referral system, including sybil attacks, may result in forfeiture of points and restriction of access.

Bundie charges a management fee of 3% per annum on assets deposited into vaults and strategies. This fee is calculated based on the total value of your deposited assets and is deducted automatically. Additional fees may apply, including but not limited to:

• Network transaction fees (gas) if gas sponsorship is not available or has been discontinued.
• Bridge fees for cross-chain transactions facilitated through third-party bridging providers.
• Underlying protocol fees charged by the DeFi protocols in which your assets are deposited.

Bundie reserves the right to modify its fee structure at any time. Changes to fees will be communicated through the platform interface prior to taking effect. Continued use of the platform after fee changes constitutes acceptance of the updated fee structure.

All content, features, functionality, branding, trademarks, source code, and design elements of Bundie are owned by Bundie and its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, create derivative works from, publicly display, or otherwise exploit any part of the platform without prior written consent.

Content you post on the Bundie social feed remains yours. By posting, you grant Bundie a non-exclusive, royalty-free, worldwide, perpetual license to display, distribute, and promote your content within the platform. You are solely responsible for the content you post and must not post content that violates any third-party rights or applicable laws.

Bundie integrates with third-party services and protocols including but not limited to Privy (authentication), ZeroDev (smart wallets), LayerZero (cross-chain messaging), LI.FI (swap routing and bridging), various DeFi protocols, and blockchain networks. These services are governed by their own terms, conditions, and privacy policies. Bundie is not responsible for the availability, accuracy, security, or performance of any third-party service, and assumes no liability for any losses arising from their use.

Nothing on Bundie constitutes financial, investment, legal, or tax advice. All vault strategies, AI recommendations, portfolio analytics, and yield projections are provided for informational purposes only. You should consult with qualified professionals before making any financial decisions. Bundie does not recommend or endorse any particular digital asset, strategy, or investment.

Bundie is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the platform will be uninterrupted, secure, error-free, or free from viruses or other harmful components.

To the maximum extent permitted by applicable law, Bundie, its affiliates, contributors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of funds, loss of data, loss of profits, loss of goodwill, or cost of procurement of substitute services, arising out of or related to your use of or inability to use the platform, regardless of the theory of liability and even if advised of the possibility of such damages.

In no event shall our aggregate liability to you for all claims arising out of or relating to these terms or your use of the platform exceed the greater of (a) one hundred US dollars (US$100) or (b) the total amount of fees, if any, paid by you to Bundie in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Bundie, its affiliates, officers, directors, employees, agents, and contributors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your violation of any applicable law or regulation.

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective upon posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the platform after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

We reserve the right to suspend, restrict, or terminate your access to Bundie at our sole discretion, without prior notice or liability, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or legal or regulatory requirements. Upon termination, your right to use the platform ceases immediately, though any pending on-chain transactions will continue to be governed by the respective blockchain network.

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Bundie shall be referred to and finally resolved by arbitration administered by the BVI International Arbitration Centre ("BVI IAC") in accordance with the BVI IAC Rules in force at the time of filing. The seat of arbitration shall be the British Virgin Islands. The tribunal shall consist of a single arbitrator. The language of the arbitration shall be English.

You agree to waive any right to participate in a class action lawsuit, class-wide arbitration, or any consolidated or representative proceeding. Each party shall bear its own costs and fees associated with the arbitration unless the arbitrator determines otherwise.

Bundie shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to: blockchain network outages, congestion, or forks; smart contract failures or exploits in third-party protocols; acts of God, natural disasters, or pandemics; government actions, sanctions, or regulatory changes; war, terrorism, or civil unrest; power outages, internet service disruptions, or cyberattacks; or failures of third-party service providers.

No failure or delay by Bundie in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Bundie may assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section shall be null and void.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bundie regarding your use of the platform and supersede all prior agreements, understandings, and communications.
